Terms and conditions

Introduction

These Terms constitute a legally binding agreement between you and InterioNotion governing your access to and use of the InterioNotion website, including any subdomains thereof, and any other websites through which InterioNotion makes its services available (collectively, the “Platform“), our mobile, tablet, and other smart device applications, and application program interfaces (collectively, the “Application“) and all associated services (collectively, the “Services“). The Platform, Application, and Services together are hereinafter collectively referred to as the “Platform/Portal”.

When these Terms mention “InterioNotion,” “we,” “us,” or “our,” it refers to the InterioNotion company (Select Dyota Ventures LLP) you are contracting with having its registered office at L148, 5th main road, Sector 6, HSR Layout, Bengaluru, Karnataka, India – 560102 (hereinafter referred to as “InterioNotion”, “We”, “Us” or “Our”).

This document is an electronic record in terms of the Information Technology Act, 2000 and Rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Registration

To access and utilize the Platform, users must complete the registration process as provided on InterioNotion. This process entails creating a login ID by following the provided link and signing up, which includes furnishing basic information such as name, gender, email, age, address, and telephone number, thereby establishing an account (“Account”).

Only upon successful completion of the registration process does an individual become a registered user with InterioNotion, thereby gaining entitlement to use the Platform.

Users acknowledge and consent that InterioNotion reserves the right to screen and verify the information provided during registration, and at its discretion, may augment the required information or request additional details post-registration. InterioNotion retains the sole discretion to deactivate any user account if provided information is found to be false or insufficient.

When users voluntarily communicate with us via electronic mail, we maintain a record to facilitate responses. Information is collected only during registration or form submissions, which may include name, email address, or phone number. However, users may choose to browse our site anonymously. By submitting personal and contact information, users consent to receiving communications from us via phone calls, SMS notifications, or emails, even if their number is registered on DND (Do Not Disturb).

Users are responsible for ensuring the accuracy, completeness, currency, and truthfulness of their registration data. We bear no liability for inaccuracies, incompleteness, outdated, or incorrect registration data.

By registering, users expressly consent to receiving communications from us through their registered phone number and/or email ID. Consent extends to being contacted via phone calls or SMS notifications. Users acknowledge that communications from us do not constitute spam, unsolicited communication, or a violation.

Users are solely responsible for maintaining the confidentiality of their registration data and are liable for all activities and transactions conducted through their account, whether initiated by them or a third party. Account passwords and details must not be shared with any third party, as accounts are non-transferable and cannot be sold. We disclaim liability for any losses incurred due to unauthorized use of passwords or accounts, whether known or unknown to users.

In the event of any changes to the provided information, users agree to promptly update their account details to ensure timely receipt of communications intended for them and prevent dissemination to any other entity or third party.

We reserve the right to immediately suspend or terminate user accounts indefinitely if there are reasonable grounds to believe that provided registration data or any other information is inaccurate or false, or if the security of the account has been compromised in any manner.

Eligibility

The use of InterioNotion's services, whether through the Portal or by any other means, is open to individuals who are legally capable of entering into a binding contract under the Indian Contract Act, 1872, and who are not prohibited by any current law in force. Individuals classified as "incompetent to contract" according to the Indian Contract Act, 1872, including minors and undischarged insolvents, are ineligible to use the Portal.

To register and use the Platform or accept these Terms & Conditions (T&C), you must be at least 18 years old and qualified for the intended use of the services in any capacity. By registering and using the Platform or accepting these T&C, you affirm to InterioNotion that you are 18 years old or older and possess the necessary right, authority, and capacity to utilize the Platform and the services offered through the Portal. In the case of a minor, registration can be done by a parent or guardian on their behalf.

You may only access the services if you meet the conditions outlined in this clause. If you do not meet the eligibility criteria, please cease all attempts to register with us or use our services immediately.

Our Services

You acknowledge that InterioNotion relies entirely on the information provided by you, and we shall not be held liable if you or anyone using your account to access InterioNotion's services on the Platform is ineligible to do so.

InterioNotion reserves the right to refuse, restrict, suspend, limit, or terminate any or all Platform services provided to any user at any time for any reason. Users who violate any provisions of these Terms & Conditions (T&C) will have their access blocked or, if applicable, membership revoked, and may be excluded from our network.

License To Use

InterioNotion, through its services and your use of the Platform, provides a nonexclusive, revocable, non-assignable license to use the InterioNotion Platform.

The rights granted under the Platform by us to you are personal in nature, and therefore you are not permitted, without prior written consent from us, to assign, transfer, or grant any sublicense to, or otherwise dispose of the whole or any part of your right, title, and interest in respect of this Platform to any third party.

Platform Availability

InterioNotion shall not be held responsible for the non-availability of the Platform and Platform services during periodic maintenance operations or any unplanned suspension of access to the Platform that may occur due to technical reasons or for any reason beyond InterioNotion's control.

We do not commit to ensuring that the Platform will be available at any particular time.

While we shall make best endeavors to ensure the proper functioning of the Portal, you shall not hold us liable for any loss or inconvenience suffered due to unavailability of features or Platform services provided on the Portal.

Restrictions On Use

As a condition of your access to and use of the Portal, you agree to comply with all applicable laws and regulations.

You agree to use the Platform solely for your own private and internal purposes. You agree not to copy, reproduce, download, republish, sell, distribute, or resell any data, services, or any information available on or through the Portal. You also agree not to use any content or data for the purposes of operating a business that competes with InterioNotion, or otherwise commercially exploiting the content without written permission. Systematic retrieval of content from the Platform without written permission is prohibited. Use of any content or materials on the Platform for any purpose not expressly permitted in these T&C is prohibited.

You must read and accept the Privacy Policy, which governs the protection and use of personal information, and agree to the use of your personal information in accordance with the Privacy Policy.

You agree not to undermine the integrity of the computer systems or networks of the Platform or any other user, or to gain unauthorized access to such systems or networks.

You agree not to undertake any action that may undermine the integrity of the Portal’s feedback system.

By posting or displaying any information or material required for registration and creation of an account, or in the event any data pertaining to you is uploaded on the Platform, you grant InterioNotion an irrevocable license to use such content in any manner and for any purpose beneficial to the operation of the Portal.

You shall ensure full compliance with the applicable provisions of the Information Technology Act, 2000, and all applicable laws, rules, and regulations regarding your use of our service.

We reserve the right, but have no obligation, to monitor the materials posted on the Portal and to remove or edit any content that violates applicable laws or the spirit of these T&C.

Other Terms and Conditions:

In the event of an increase in the estimated project value, the Customer must promptly make additional payments upon revision.

Full payment for all vendor products, along with the Production Initiation Fee as stated in the quotation, is required.

The Customer acknowledges that failure to take handover of products within 30 days from the date of notification by InterioNotion that the products are ready for dispatch, or failure to pay the Execution Initiation Fee and any applicable Load Holding Charges in full, may absolve InterioNotion of liability for any damage to the products stored at the factory or warehouse.

All payments made by the Customer at any stage are non-refundable upon termination or in any other event. No refunds are applicable upon termination of this Agreement for any reason.

All project values in the estimate provided will include taxes, which are subject to change according to prevailing government tax rates/structure.

Any bank or payment gateway fees shall be borne by the Customer when applicable.

Final Site Handover to the Customer will only occur upon receipt of all outstanding payments by InterioNotion.

Indemnity

Users agree to indemnify and hold InterioNotion, its officers, subsidiaries, affiliates, successors, assigns, directors, agents, service providers, suppliers, and employees harmless from any claims, including reasonable attorney fees and court costs, arising from User Content, registration data, use of Services, violation of T&C, Privacy Policy, breach of covenants, representations, warranties herein, infringement of rights, or violation of any Applicable Law.

All other terms and conditions of this User Agreement apply to such transactions.

Intellectual Property

InterioNotion is the sole owner or lawful licensee of all rights and interests in the Platform and the Data therein. The Platform embodies InterioNotion’s Intellectual Property Rights protected under worldwide copyright, trademark, and other laws. All title, ownership, and Intellectual Property Rights in the Platform and Data remain with InterioNotion and its affiliates.

The Portal, related icons, and logos are registered trademarks or service marks of InterioNotion, protected under applicable copyright, trademark, and other proprietary rights laws. Unauthorized copying, modification, use, or publication of these marks is strictly prohibited.

Drawings, designs, specifications, and other documents prepared by InterioNotion are instruments of service for use solely with respect to the project. InterioNotion retains all rights, including copyrights, and these Designs shall not be used by the Customer without prior written agreement. The Customer shall indemnify and hold InterioNotion harmless for any loss or damage caused by unauthorized use of the Designs.

Warranty

InterioNotion warrants that products sold hereunder meet their descriptions or specifications, subject to use, storage, and application thereof in accordance with InterioNotion’s standard instructions and recommendations, and subject to exclusions set out in the Warranty Letter.

In the event of a manufacturing defect in a product under warranty, InterioNotion will provide a replacement subject to the terms and conditions outlined in the Warranty Letter.

Unless otherwise restricted by mandatory applicable law, the warranty provided herein is expressly in lieu of all other warranties, whether expressed or implied, including, but not limited to, warranties of merchantability, quality, and fitness for a particular purpose.

Unless InterioNotion receives written notice from the Customer regarding any alleged manufacturing defects within the applicable warranty period, goods and services delivered shall be deemed to have been supplied, delivered, and accepted in full conformity with the Agreement. The Customer shall not be entitled to reject the goods or raise any claim for damages or other remedy for alleged negligence, breach of warranty, or any other condition.

Any warranties provided by InterioNotion are specifically limited to the Customer and shall not be imputed to any other person or entity, directly or indirectly, expressly or impliedly.

Limitation of Liability

InterioNotion’s liability in connection with or arising out of the contractual relationship with the Customer, regardless of the grounds (contract or tort or otherwise), shall be limited to the total fees received by InterioNotion for the project.

Any additional claims based on default shall be excluded. InterioNotion shall not be liable for any form of negligence (including gross negligence to the extent permitted by law) by InterioNotion, its employees, executives, or affiliates; indirect damage; consequential damage; loss of profits; unrealized savings; or acts and omissions on the part of auxiliary persons or suppliers/vendors, whether contractual or non-contractual.

Eligibility of Delay Compensation

The following cases are not eligible for claiming delay compensation:

  • Customer-initiated hold on the project at any point (including delayed possession or customer vendor work);
  • Discontinuity in access to the site or ability to work at the site;
  • Customer residing on the property while work is being done;
  • Customer vendor working on the site while InterioNotion contractors are present;
  • Restrictions on working at the site, including timings and manpower restrictions;
  • Design changes after design closure;
  • Power or water supply issues at the site;
  • Delays caused by pending customer approvals;
  • Unforeseen issues not attributable to InterioNotion regarding raw material, manpower, or others;
  • Budget of the property exceeding Rs 30 Lakhs.

You Agree and Confirm

In the event of non-delivery due to a mistake by you (such as wrong name or address), any extra cost incurred by InterioNotion for redelivery shall be claimed from you.

You will provide authentic and true information whenever requested. InterioNotion reserves the right to confirm and validate the information provided by you. If your details are found to be untrue, InterioNotion may reject your registration and prohibit you from using its services without prior notice.

You are accessing the services on this platform and transacting at your own risk, using your best judgment before entering any transaction.

The delivery address provided by you will be correct and proper in all respects.

Before placing an order, you will carefully check the product description and agree to be bound by the conditions of sale included in the item’s description.

Disclaimers

If You choose to use the Portal and Platform Services, You do so at Your sole risk. You acknowledge and agree that InterioNotion does not have an obligation to conduct background or character checks on any User but may conduct such checks in its sole discretion. If We choose to conduct such checks, to the extent permitted by Applicable Law, we disclaim warranties, either express or implied, that such checks will identify prior misconduct by a User or guarantee that a User will not engage in misconduct in the future.

No advice or information obtained from InterioNotion or through the Portal will create any warranty not expressly made herein.

Termination

You can stop using Our Platform and Platform Services at any time. InterioNotion may also restrict Your Platform access or add new limits to Platform Services provided to You at any time.

InterioNotion reserves the right, in its sole discretion, to terminate access to the Platform and related Services or any portion thereof at any time, by giving You 15 (fifteen) days’ notice via email to Your registered email address.

Causes for termination may include, but are not limited to, breach of this T&C, General Terms, Privacy Policy, or Applicable Laws, requests by enforcement or government agencies, requests by You, non-payment of any fees accrued by You, etc.

If You object to any terms and conditions of this T&C or become dissatisfied with the Platform, Your only recourse is to immediately discontinue use and notify InterioNotion. InterioNotion shall not be liable to You or any Third Party for termination of this T&C.

Upon termination, Your right to use the Platform and Platform Services shall cease. Any User Content stored on the Platform may not be retrieved later.

If You or we terminate this T&C, certain clauses will survive termination including indemnity and ownership of Intellectual Property Rights.

Applicable Law And Dispute Resolution

This T&C and any contractual obligation between InterioNotion and User will be governed by the laws of India. The courts at Bangalore shall have exclusive jurisdiction over any disputes.

Miscellaneous

InterioNotion shall not be liable for any losses whatsoever connected with any Services provided by Us.

We reserve the right to modify or discontinue Platform Services with or without notice. It is Your responsibility to review these T&C periodically for updates/changes.

You agree not to reproduce, duplicate, sell, or exploit any portion of the information provided by Us.

If Your post or User Content violates this T&C, we have the right to refuse access to the Platform.

If any provision of this T&C is held unenforceable, the remainder shall remain enforceable.

Neither party shall be responsible for delays resulting from acts beyond its control.

By using the Platform, Users agree to comply with this T&C. These T&C constitute a binding legal agreement between Users and InterioNotion.

We reserve the right to change these T&C without prior notice. Your continued use of the Platform indicates acceptance of the revisions.
